LTDA.”, Rut. 76.338.455-1, constituida por escritura pública fecha 15 octubre 2013, ante Notario Valparaíso, Sergio Díaz Pérez, Suplente Titular, Manuel Jordán López, inscrita a fojas 1189 N° 1169, Registro Comercio Valparaíso, año 2013, con CAPITAL SOCIAL: $4.000.000, siguiente sentido: Se retira de la sociedad socio JOSÉ EUGENIO EGIDO ARRIOLA, quien cede, vende y transfiere totalidad de sus derechos sociales, equivalentes al 1% a socia entrante KARLA ANTONELLA POGGI IRRIBARRA, quien compra, adquiere y acepta para sí, precio $40.000, cantidad que cesionaria paga al cedente, contado, dinero efectivo este acto, a entera satisfacción. Quedan como actuales y únicos socios DIEGO ANDRÉS EGIDO NÚÑEZ con 99% derechos y KARLA ANTONELLA POGGI IRRIBARRA, con 1% derechos. Actuales socios modifican Cláusula Séptima: UTILIDADES Y PÉRDIDAS: Se repartirán proporción 99% socio DIEGO ANDRÉS EGIDO NÚÑEZ y 1% socia KARLA ANTONELLA POGGI IRRIBARRA. Actuales socios ratifican Cláusula Novena: ADMINISTRACIÓN, REPRESENTACIÓN LEGAL Y USO RAZÓN SOCIAL: Corresponderá al socio DIEGO ANDRÉS EGIDO NÚÑEZ, con facultades se señalan.
